Who this agreement is between
- The Think Media Group Limited, trading as The Think, company number 16011301, registered office 71–75 Shelton Street, Covent Garden, London WC2H 9JQ ("we", "us").
- Thornbury Physiotherapy, company number 99287415, of 3 Larchmont Parade, Richmond TW9 2NH ("you").
1. What's included
1.1 You've chosen the Care Plan Plus care plan for Thornbury Physiotherapy website. Each month it includes:
- Up to 2 hours of updates and small changes
- Checking your site is up and working
- Keeping your website platform and settings up to date
- Help and advice by email
1.2 Anything not listed is quoted separately before we do it.
1.3 Monthly time allowances are for that month only. Unused time doesn't roll over.
2. How to ask for help
2.1 Send requests by email to hello@thethink.co.uk. We'll reply within 1 working day and agree a timescale for anything that will take longer.
2.2 If your site goes down, tell us straight away. We'll start looking into it as soon as we can during working hours (9am to 6pm, Monday to Friday, excluding UK bank holidays).
3. Price and payment
3.1 The care plan costs £195 a month. We are not currently VAT registered, so no VAT is added.
3.2 We invoice monthly in advance. Invoices are due within 14 days.
3.3 Platform, hosting and domain subscriptions are paid by you directly unless we've agreed otherwise in writing.
3.4 We may change the price once a year by giving you at least 30 days' notice. You can end the plan before the new price applies.
4. Length and ending the plan
4.1 The plan runs month to month from the date you sign.
4.2 Either of us can end it by giving 30 days' notice in writing (email is fine).
4.3 If an invoice is unpaid for more than 30 days, we may pause the plan until it's paid.
5. Your responsibilities
5.1 Keep your accounts for your domain, hosting and website platform in good standing, and tell us if you or anyone else changes the site.
5.2 We aren't responsible for problems caused by changes made by you or anyone else, or by third-party services.
6. Data
Both of us will follow UK data protection law, including the UK GDPR. Where we handle personal data on your behalf while looking after your site, we will only use it on your instructions, keep it secure, tell you without delay about any breach, and delete it when we no longer need it.
7. Liability
7.1 Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't legally be limited.
7.2 Neither of us is liable for loss of profit, revenue, business, data or goodwill, or for any indirect loss.
7.3 Otherwise, our total liability under this agreement is limited to the fees you have paid us under it in the 12 months before the claim.
8. General
8.1 This agreement can be signed electronically, and an electronic signature counts as an original.
8.2 This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
