Shopify store**. It is written in plain English on purpose. If anything is unclear, ask us before you sign.\n\n## 1. The work\n\n1.1 We will deliver the **Signature** package described in our proposal P-0007. In summary it includes:\n\n- Everything in Essentials, plus:\n- Brand refresh built around your logo: palette, typography and imagery direction\n- Brand guidelines\n- Considered motion and interaction\n- Copywriting for your key service pages\n- A ‘your project’ enquiry journey\n- Insights and careers sections\n\n1.2 Anything not listed in the proposal is not included. If you'd like something extra, we'll treat it as a change request (clause 5).\n\n1.3 We may use trusted specialists to help deliver parts of the work. We stay responsible for their work as if it were our own, and they are bound by the same confidentiality as us.\n\n## 2. Timeline\n\n2.1 We estimate the project will take around **8 weeks** from the date we receive your deposit and everything we need to start.\n\n2.2 The timeline depends on you giving us content, feedback and approvals on time. If something you need to provide is late, the timeline moves by at least the same amount, and we'll agree a new launch date with you.\n\n2.3 If we haven't heard from you for 30 days despite reminders, we may pause the project, invoice for work completed so far, and restart when our schedule allows.\n\n## 3. What we need from you\n\n3.1 You'll give us, on time and in a usable format: your words, images, logos and any other content, access to your domain, hosting and accounts we need, and one main point of contact who can make decisions.\n\n3.2 You'll give us feedback within **5 working days** of each request for review.\n\n3.3 You confirm that you own, or have permission to use, everything you give us, and that using it won't break anyone else's rights. You're responsible for checking the accuracy of your content, including any legal or regulatory wording your business needs.\n\n## 4. Reviews and sign-off\n\n4.1 At each main stage (for example copy, design and build) we'll ask you to review the work and either approve it or ask for changes. Each stage includes **2** rounds of changes.\n\n4.2 Approval is given by clicking \"Approve\" on the sign-off link we send you, by email, or in writing. Once a stage is approved, changes to it are treated as a change request.\n\n4.3 If you don't reply to a sign-off request within 10 working days, and we've reminded you, we may treat that stage as approved so the project can keep moving.\n\n## 5. Changes\n\n5.1 If you want something outside the agreed work, or further rounds beyond those included, we'll send you a change request with the price and any effect on the timeline.\n\n5.2 We'll only do the extra work once you've approved the change request. Approved change requests are added to your next invoice.\n\n## 6. Fees and payment\n\n6.1 The price for the work is **£9,800**, paid as follows: 50% (£4,900) before work starts, and the remaining 50% (£4,900) before launch.\n\n6.2 Invoices are due within **14 days**. We are not currently VAT registered, so no VAT is added. If that changes, we'll tell you before VAT appears on any invoice.\n\n6.3 Third-party costs such as stock images, font or plugin licences, domain names, hosting and website platform subscriptions are not included unless the proposal says so. We'll agree any of these with you before buying them, and some may need to be held in your name.\n\n6.4 If an invoice is overdue, we may pause work until it's paid. We may also charge interest and recovery costs as allowed under the Late Payment of Commercial Debts (Interest) Act 1998.\n\n6.5 Your deposit secures time in our schedule and pays for the work we start straight away. Once work has begun it isn't refundable, except under clause 12.3.\n\n## 7. Launch and aftercare\n\n7.1 When the work is ready to go live, we'll ask you to check it. The final payment is due before launch unless we agree otherwise in writing.\n\n7.2 For **30 days after launch**, we'll fix any errors in the work we delivered at no charge. This doesn't cover changes you or anyone else make after launch, new features, problems caused by third-party services, or content updates.\n\n7.3 Ongoing hosting support, updates and changes after those 30 days are covered by a care plan if you choose one, or charged separately.\n\n## 8. Who owns what\n\n8.1 Once you have paid everything due under this agreement, you own the final designs, website and other deliverables we made for you, and we transfer to you any rights we hold in them.\n\n8.2 We keep ownership of our own know-how, methods, tools, code snippets and components that we use across projects. We give you a permanent, royalty-free licence to use them as part of your deliverables.\n\n8.3 Third-party items (such as fonts, stock images, plugins and platforms) remain owned by their makers and are used under their own licence terms.\n\n8.4 Until you've paid in full, we give you a licence to use the work for review only.\n\n8.5 We may show the finished work in our portfolio and on social media, unless you ask us in writing not to. We'll never share anything confidential.\n\n## 9. Confidentiality and data\n\n9.1 Both of us will keep the other's confidential information private and use it only for this project. This doesn't apply to information that is already public, or that the law requires us to share.\n\n9.2 Both of us will follow UK data protection law, including the UK GDPR. Where we handle personal data on your behalf (for example enquiries submitted through your website forms while we build or look after it), we will only use it on your instructions, keep it secure, tell you without delay about any breach, and delete or return it when we no longer need it.\n\n## 10. Liability\n\n10.1 Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't legally be limited.\n\n10.2 Neither of us is liable for loss of profit, revenue, business, data or goodwill, or for any indirect loss.\n\n10.3 Otherwise, our total liability under this agreement is limited to the total fees you have paid us under it.\n\n10.4 We'll take reasonable care to build a secure, working website, but we can't guarantee it will be free from all errors, always available, or reach a particular search ranking or result.\n\n## 11. Things outside our control\n\nNeither of us is responsible for delays caused by events beyond our reasonable control, such as a failure of a third-party platform, illness, or an internet outage. The affected party will let the other know promptly and do what it reasonably can to keep things moving.\n\n## 12. Ending the agreement\n\n12.1 Either of us can end this agreement by giving 14 days' notice in writing.\n\n12.2 If you end it, you'll pay for all work done up to the end of the notice period and any third-party costs we've committed to. We'll hand over the work you've paid for.\n\n12.3 If we end it without good reason, we'll refund any money paid for work we haven't yet done.\n\n12.4 Either of us can end it immediately if the other seriously breaks this agreement and doesn't put it right within 14 days of being asked, or becomes insolvent.\n\n## 13. General\n\n13.1 This agreement, together with proposal P-0007, is the whole agreement between us about the project.
